1. Acceptance of Terms

By registering for, accessing, or using the ModernSchools platform ("Service"), you ("School", "Administrator", "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms also incorporate our Privacy Policy by reference. Schools must ensure their use of the platform complies with applicable local laws, WhatsApp Business Policy, and Meta's Terms of Service.

2. Description of Service

ModernSchools provides:

• A web-based school administration portal for managing students, attendance, fees, and academic records
• WhatsApp Business API integration to send official, transactional notifications to parents and guardians
• An AI-powered chatbot to handle parent queries via WhatsApp (attendance, fees, schedules)
• Reporting and analytics tools for school administrators
• Consent management and audit trail for WhatsApp communications

3. Permitted Use — Acceptable Message Types

The WhatsApp messaging functionality of this platform may only be used to send the following message types to parents and guardians who have provided explicit opt-in consent:

• ✅ Attendance alerts (absent/late student notifications)
• ✅ Fee payment reminders and payment confirmations
• ✅ Exam schedule and result notifications
• ✅ School announcements, holiday notices, event information
• ✅ Emergency notifications (school closures, safety alerts)
• ✅ Parent-teacher meeting invitations
• ✅ Homework or assignment updates (class-level only)
• ✅ AI-assisted responses to parent queries about the above topics

Acceptable Use and Platform Protection

The Service is provided as a managed Software-as-a-Service (SaaS) platform and is intended to be used through the interfaces, APIs, and features expressly provided by ModernSchools.

Users must not attempt to interfere with, disrupt, overload, reverse engineer, scrape, automate, or otherwise misuse the Service in a manner that may negatively impact platform performance, security, reliability, or the experience of other customers.

Activities including, but not limited to, excessive automated requests, unauthorized access attempts, security testing without prior written consent, denial-of-service activities, data extraction, or any action deemed harmful to the Service may result in temporary suspension or permanent termination of access.

ModernSchools reserves the right to investigate suspected misuse or abuse of the Service. In cases where a customer account is found to be engaging in prohibited activities, ModernSchools may suspend or terminate the account and associated services without refund of any active subscription fees, to the extent permitted by applicable law.

These measures are necessary to maintain the security, availability, and integrity of the platform for all customers.

4. School Responsibilities and Obligations

By using ModernSchools, the school agrees to:

• Obtain explicit opt-in consent from all parents/guardians before enrolling their WhatsApp number in the system
• Inform parents clearly about the types of messages they will receive and the school's WhatsApp number before consent is collected
• Honour opt-out requests promptly and permanently when a parent wishes to stop receiving messages
• Maintain accurate data — ensure student and parent information is current and correct
• Use approved templates only — all message templates must be submitted and approved by Meta/WhatsApp before use
• Not misuse the AI assistant — not attempt to use the system to generate misleading, false, or harmful information
• Comply with data protection laws applicable to your jurisdiction (GDPR, India's PDPB, etc.)
• Maintain confidentiality of login credentials and notify us immediately of any unauthorized access
• Keep business information current — ensure your school's Meta Business Verification details are accurate and up to date

5. WhatsApp Business API Compliance

Schools using the WhatsApp messaging features acknowledge that:

• The WhatsApp Business API is owned and operated by Meta Platforms, Inc.
• All use is subject to WhatsApp Business Policy and Meta's Terms of Service
• Message templates must be approved by Meta before deployment and re-approved after any changes
• Schools may not use the WhatsApp API to send messages to contacts who have not opted in
• Meta may suspend or terminate WhatsApp access for policy violations, and ModernSchools is not liable for such actions
• Schools must complete Meta Business Verification as part of the WhatsApp Business API setup process

6. Account Registration and Security

• Each school must register with accurate business information (school name, address, contact details)
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately at support@modernschools.in if you suspect unauthorized access
• We reserve the right to suspend accounts that violate these Terms or applicable policies
• One account per school (multiple admin users are supported within one school account)

7. Data Ownership and Portability

• Schools retain ownership of all student and parent data entered into the platform
• ModernSchools acts as a data processor on behalf of schools (as defined under GDPR Article 28)
• Schools may export their data at any time via the admin portal
• Upon account termination, schools may request a full data export within 30 days
• After 90 days following account termination, all school data will be permanently deleted from our systems

8. Service Availability and Support

• We aim for 99.5% uptime but do not guarantee uninterrupted service
• Planned maintenance will be communicated at least 48 hours in advance where possible
• Support is available at support@modernschools.in with response times within 24 hours on business days
• WhatsApp API availability is subject to Meta's infrastructure and may be affected by factors outside our control

9. Subscriptions and Billing

Payments are processed through secure third-party payment service providers. ModernSchools.in does not store complete card or banking information on its systems.

• All paid plans include a 30-day free trial before billing begins
• Subscriptions are sold on an annual basis only and billed upfront for the full year
• Monthly subscription billing is not available
• Prices are shown in Indian Rupees (INR) per year and may be subject to applicable taxes at checkout
• Payments are processed securely through secured payment gateways (UPI, cards, net banking)
• After successful payment, refunds are not available except for verified billing or technical errors or where required by law
• Partial refunds for unused months or unused time in an active subscription period are not provided
• If you cancel, only future renewals stop; your current subscription remains active until the end of your subscribed duration
• Refund and cancellation terms are described in our Refund Policy

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• ModernSchools is not liable for direct, indirect, incidental, or consequential damages arising from your use of the platform
• We are not responsible for WhatsApp API downtime, Meta policy changes, or message delivery failures caused by Meta's systems
• Schools are responsible for the accuracy of data they enter and communications they initiate
• Our total liability to any school shall not exceed the fees paid for the current annual subscription period

11. Termination

• Either party may terminate the agreement with 30 days written notice
• We may immediately suspend or terminate accounts for violations of these Terms, WhatsApp Business Policy, or applicable law
• Upon termination, WhatsApp messaging access will be disabled and data export options provided for 30 days

12. Changes to Terms

We may update these Terms & Conditions from time to time. Material changes will be communicated to registered school administrators via email at least 30 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in India. For schools outside India, applicable local law may also apply regarding data protection obligations.
